Terms of Service

Version AGT-TERMS-01 · Effective August 29, 2026

The rules governing access to Agertek’s website, TechLib product and technical-document library, Android application, and related TDS portal.

These Terms of Service (“Terms”) govern your access to and use of Agertek’s public websites, the TechLib digital product-library service, its Android application, the TDS portal that supports the application, and related pages or interfaces (together, the “Service”).

1. Agreement and the parties

The Service is made available by the applicable Agertek business entity that operates the relevant website, account, product catalogue, quotation channel, or customer relationship (“Agertek,” “we,” “us,” or “our”). By accessing or using the Service, you confirm that you have read and accepted these Terms. If you do not accept them, do not use the Service.

Agertek is the business and content provider. Agertek is responsible for the commercial offering, product and technical information it publishes, its customer and supplier relationships, quotations, orders, delivery arrangements, regulatory representations, and the lawful basis on which it provides access to the Service.

Maytek CO is Agertek’s technology provider for the relevant software, hosting, authentication, application, portal, integrations, and technical maintenance. Maytek is not the seller, manufacturer, exporter, importer, broker, certifier, regulator, or commercial representative of the products listed by Agertek. Maytek does not decide whether a product is suitable, safe, compliant, available, correctly described, or appropriate for a particular transaction.

Responsibility boundary

Agertek is accountable for the substance and commercial consequences of its product information and transactions. Maytek is accountable only for the technical services it provides to Agertek under their arrangement, subject to these Terms and applicable mandatory law.

2. What the Service does

TechLib is a controlled digital library through which Agertek may distribute product catalogues, technical data sheets, compliance documents, photographs, videos, training material, shipping documents, recipes, and other business content to authorised users. The Android application and TDS portal may provide account authentication, content delivery, document viewing, notifications, access control, and related operational features.

Agertek’s website may also provide information about oils and fats, functional proteins, grains and meals, starches and sugars, specialty ingredients, environmental services, and other offerings. The Service is an information and workflow channel. Unless Agertek expressly confirms otherwise in a separate written agreement, content shown in the Service is not itself a binding offer, purchase order, sales contract, warranty, certification, or commitment to supply.

Any sale, supply, quotation, shipment, payment, quality claim, specification, regulatory certification, or other commercial relationship remains subject to the applicable written agreement between the relevant parties. If there is a conflict between these Terms and a signed commercial agreement, the signed agreement governs the relevant transaction.

Agertek retains its rights in its product information, technical documents, catalogues, trademarks, trade names, images, videos, and other business content (“Agertek Content”). Agertek grants authorised users a limited, non-exclusive, non-transferable, revocable permission to view and use Agertek Content only for the legitimate business purpose for which access was granted.

Maytek retains its rights in the software, source code, object code, application architecture, user interface, infrastructure configuration, authentication components, workflows, documentation, and technical know-how used to operate the Service (“Maytek Technology”). Nothing in these Terms transfers ownership of Maytek Technology to Agertek, an authorised user, or any other person.

Agertek is responsible for reviewing and approving the accuracy, completeness, currency, and lawful use of Agertek Content before it is published. Technical data sheets and other documents are provided for the purposes stated by Agertek and should be checked against the applicable product specification, contract, certificate, test report, or regulatory requirement before being relied upon.

You may not copy, republish, resell, modify, reverse engineer, scrape, redistribute, or commercially exploit the Service or its content except with written permission from the rights holder or where applicable law expressly permits it.

5. Accounts and acceptable use

Where an account is required, you must provide accurate information, keep credentials confidential, use only your own authorised account, and promptly notify Agertek of suspected unauthorised access. You are responsible for activity performed through credentials assigned to you, except to the extent caused by a failure for which the responsible party is legally liable.

You must not use the Service to impersonate another person or organisation; gain access to content or accounts without permission; upload malware or unlawful material; interfere with availability or security; circumvent access controls; harvest personal data; infringe intellectual-property rights; or use Agertek Content to create misleading, fraudulent, defamatory, or unlawful statements.

You must not share confidential Agertek Content outside the audience authorised by Agertek. If you upload or submit personal data or third-party documents, you confirm that you have the authority and lawful basis to do so.

6. Availability, updates, and suspension

The Service is provided on an “as available” basis. Agertek and Maytek may update, maintain, restrict, suspend, or discontinue components of the Service when reasonably necessary for security, maintenance, legal compliance, product changes, infrastructure conditions, or Agertek’s business decisions. Neither party promises that the Service will be uninterrupted, error-free, or available in every location or on every device.

Agertek may suspend or revoke access where it reasonably believes that an account has been misused, credentials have been compromised, a user has breached these Terms, or continued access could harm Agertek, Maytek, another user, a supplier, a customer, or the Service. Where practicable, Agertek will provide notice and an opportunity to resolve the issue.

7. Disclaimers and limitation of liability

To the maximum extent permitted by applicable law, the Service and its content are provided without warranties other than warranties that cannot lawfully be excluded. Agertek does not guarantee a particular commercial, supply, financial, logistics, regulatory, environmental, or operational outcome. Product information must not replace the user’s own technical, legal, regulatory, safety, quality, or commercial due diligence.

Agertek is responsible for the Agertek Content and commercial matters described in these Terms. Maytek is not responsible for product defects, product recalls, inaccurate or outdated Agertek Content, regulatory non-compliance by Agertek or a third party, a buyer’s or supplier’s conduct, a shipment or payment failure, or a decision made using Agertek Content.

To the maximum extent permitted by law, neither Agertek nor Maytek will be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, business opportunity, goodwill, or data, arising from use of the Service. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud, wilful misconduct, or rights that applicable consumer or data-protection law makes mandatory.

Any liability cap, service-level commitment, indemnity, or allocation of risk between Agertek and Maytek is governed by their separate agreement and is not expanded by these Terms.

8. Changes, governing law, and contact

We may update these Terms as the Service, Agertek’s business, or applicable law changes. The “Effective” date above identifies the current version. Material changes will be communicated through the Service, the website, or an appropriate account channel where reasonably practicable. Continued use after the effective date of an updated version constitutes acceptance to the extent permitted by law.

These Terms are governed by the law that applies to the Agertek entity and relationship relevant to your use, without prejudice to mandatory consumer, privacy, or other rights that apply in your country. The competent courts or dispute-resolution forum will be determined by the applicable written commercial agreement or, where none exists, by mandatory applicable law.
